Terms of service

The general terms governing the use of the website, portals and services provided by ZEBRABYTE LIMITED.

These Terms apply to services provided by ZEBRABYTE LIMITED, company number 15194067, with registered office at Suite 7165a, 60 Tottenham Court Road, Fitzrovia, London, United Kingdom, W1T 2EW (“ZebraByte”, “us”). References to “Client” or “you” mean the person or organization that orders, administers or uses the ZBTKEEP Services1.

Scope and order of documents

The contract may include an order, offer, statement of work, these Terms, service-specific documents and, if ZebraByte processes personal data on behalf of the Client, the Data Processing Agreement (DPA). In case of conflict, the negotiated or service-specific document prevails for the subject it regulates.

If the Customer is a consumer, nothing in these Terms excludes or limits mandatory rights that the applicable law does not allow to be excluded.

Order and Contract Formation

Sending an order does not require ZebraByte to accept it. The contract is formed when ZebraByte confirms the acceptance of the order, activates the service or signs a contractual document, whichever comes first. The person ordering on behalf of an organization declares that he has the authority necessary to bind it contractually.

The Customer must provide accurate, up-to-date and sufficient information for verification, billing, security and service provision and update this information when it changes.

Services and operational changes

The specific scope, limits, resources, functionalities and any levels of service are those described in the product page, order, offer or contract.ZebraByte may make reasonable technical changes for security, interoperability, performance, compliance or continuity of the service, without materially reducing the functionality contracted for the period already paid.

Beta, preview, trial or free features may be modified or withdrawn and have no SLA unless expressly stated in writing.

Customer Responsibilities and Acceptable Use

The Customer is responsible for the users, credentials, content and configurations under his control and must:

  • Protect accounts with appropriate passwords and MFAs when available;
  • comply with the law, third party rights and policies applicable to the Service;
  • not to use the Services for malware, phishing, spam, fraud, abuse, unauthorized access or activities that affect the security or availability of other systems;
  • notify without undue delay the compromise of credentials or a relevant incident;
  • retain their own copies of the data when the contracted service does not explicitly include managed backups.

Security testing on ZebraByte infrastructure or other customers is prohibited without written permission. Security testing services ordered by the Customer must target assets for which the Customer has a legal right to test.

Domains and services provided by third parties

Registration, transfer and renewal of domains are also subject to the rules of the relevant registry/register. Domains, licenses, certificates and other services purchased from third parties may have their own terms, tariffs, grace periods and refund policies.ZebraByte's domain policy is part of these Terms when the Customer orders domain services.

Pricing, invoicing and renewal

The customer pays the rates and fees displayed or agreed in the order. The billing frequency, currency, applicable fees and expiration date are indicated on the order or invoice. Recurring services may be renewed automatically if this is indicated on the order or in the portal; the customer may request cancellation according to the terms of the plan before the next renewal.

ZebraByte may change rates for future periods. For already active recurring services, material price changes are communicated before the next affected period so that the Customer can decide whether to renew.

Delay in payment, suspension and termination

If a due amount remains unpaid, ZebraByte may limit or suspend the service after reasonable notice, except for emergency security situations, fraud, abuse or legal risk where immediate action is justified.

ZebraByte may suspend or terminate a service for material breaches of the contract that are not remedied within a reasonable period of time after notification or, immediately, if the maintenance of the service creates a serious security risk, is illegal or may harm ZebraByte, other customers or third parties.

Upon termination, access and export of data depends on the contracted service. Data are returned or deleted in accordance with the DPA, the retention policy and applicable legal obligations. The customer must initiate export prior to the expiry of the communicated availability window.

8 Reimbursement

The right to refund is the one indicated in the applicable offer, plan or contract and in the binding rights provided by law. Non-refundable fees paid to registries, registrars or other suppliers for resources already ordered on behalf of the Customer are not refundable to the extent permitted by law.

9 Intellectual Property

Each party retains its rights to the materials, software, brands, data and know-how held prior to the contract. The customer retains its rights to its content and data.ZebraByte retains its rights to its platforms, automation, methods, reusable components and documentation, unless a signed contract stipulates otherwise.

Confidentiality and data protection

Each party will protect the confidential information received from the other and will only use it for the purposes of the contractual relationship.ZebraByte processes the data for its own purposes in accordance with the Privacy Policy. When ZebraByte acts as the controller (processor), the ZebraByteDPA and the documented instructions of the Customer apply.

Security and Shared Responsibility

ZebraByte applies technical and organizational measures proportionate to service and risk. No internet-connected service can eliminate all risks. Exact responsibilities regarding patching, applications, identity, backup, endpoint, data and configurations depend on the contracted service and the shared responsibility model communicated to the Customer.

SLA, Support and Maintenance

Any commitment to uptime, service credits or response time is valid only if it is provided for in an applicable SLA, support plan, offer or contract. Public documents “Hosting SLA”, “Maintenance Terms” and “Support Terms” apply only to the services they refer to.

13. Guarantees and liability

ZebraByte will provide the services with reasonable diligence and competence. To the extent permitted by law, ZebraByte is not liable for unavailability or loss caused exclusively by the Customer, suppliers or networks beyond the reasonable control of ZebraByte, Customer instructions or force majeure events.

For business customers, except for liability that cannot be limited by law (including for fraud or death/injury caused by negligence), the aggregate total liability of ZebraByte resulting from a service is limited to fees paid for the affected service in the 12 months preceding the event that generated the claim.ZebraByte is not liable for indirect or consequential losses, loss of profit, income, opportunity or reputation, to the extent permitted by law.

The Major Force

No Party shall be liable for non-performance caused by events beyond its reasonable control, except for already due payment obligations. The affected Party shall take reasonable steps to limit the impact and resume execution.

15. Modificarea termenilor

ZebraByte may update these Terms for legislative, security, operational or service changes. Material changes affecting active services are communicated in a reasonable way before they take effect, except for urgent changes required for law or security.

Applicable law and jurisdiction

For business customers, the contract is governed by the law of England and Wales, and the courts of England and Wales have jurisdiction unless a signed contract stipulates otherwise.
